No, 2K will also only format up to 32GB, this is M$ way of forcing users to
use NTFS.

You can use this tool:

        ftp://ftp.heise.de/pub/ct/ctsi/h2format.zip

from german c't magazine, it will format a "large" FAT32 partition
from the command line, usage is:

        h2format X:

with X: being the drive letter of your FAT32 drive
